Key points
- Most tokenized stocks sold to the public are not shares. They are debt securities or derivatives issued by a third party, backed by shares a custodian holds.
- SEC staff describe three models: issuer-sponsored (the token is the share), custodial (an entitlement to a held share) and synthetic (a third party's own security).
- Robinhood Stock Tokens on Robinhood Chain are tokenised debt securities from an unregulated Jersey issuer: no votes, dividends via a multiplier, not for US persons.
- xStocks are tracker certificates backed 1:1, with a security agent over the collateral, no voting and reinvested dividends.
- Galaxy's GLXY tokens through Superstate are the actual Class A shares, with the shareholder register updated onchain.
- Nasdaq's approved rule would trade tokenized shares with the same CUSIP on the same order book, once DTC's settlement service is live.
Buy a tokenized share of a US company on Robinhood Chain, or an xStock on Solana, and your wallet shows a token with the company’s ticker that tracks its share price. The question people ask next is simple: do I own the stock? For almost every tokenized stock sold to the public today, the answer is no. You own a claim on whoever issued the token, and that claim is backed by shares someone else holds.
That is not automatically bad. It is a different thing, with a different set of rights and risks, and the documents say exactly what it is. This guide shows how ordinary share ownership works, the three ways a stock can be put on a blockchain, what Robinhood’s Stock Tokens, Backed’s xStocks and Galaxy’s onchain shares actually give you, and what to check before you buy one.
How you own a stock today
Even without a blockchain, most people do not own their shares directly. The SEC explains that when you hold shares at a broker in “street name”, “your brokerage firm (or some other nominee) will appear as the owner on the issuer’s books,” while “your firm will keep records showing you as the real or “beneficial” owner.” The broker credits your dividends and forwards proxy materials so you can vote.
The legal name for what you hold is a security entitlement: under Article 8 of the Uniform Commercial Code, a bundle of rights and a property interest in the shares, held through your broker. It comes into existence when your broker credits the shares to your account. Two protections come with it. The shares your broker holds for clients “are not property of the securities intermediary” and “are not subject to claims of creditors of the securities intermediary”, subject to limited exceptions.
The alternative is direct registration, where your shares are “registered in your name on the books of the issuer.” Then nobody stands between you and the company.
So the right question about a tokenized stock is not “is it on a blockchain?” It is: whose books record what, and what claim do I hold against whom?
Three ways to put a stock onchain
In January 2026 the staff of three SEC divisions described three models in a statement on tokenized securities. It is a staff view, “not a rule, regulation, guidance, or statement” of the Commission, but it is the clearest map available.
| Model | What the token is | Your claim is against | Example |
|---|---|---|---|
| Issuer-sponsored | The share itself: “the issuer (or its agent) maintains the master securityholder file on one or more crypto networks” | The company, as a shareholder | Galaxy’s GLXY shares through Superstate |
| Custodial | A record of your “indirect interest in the underlying security” held by a custodian | The custodian, as today with a broker | DTC’s tokenization service (pilot) |
| Synthetic / linked | “A security issued by the third party itself that provides synthetic exposure to a referenced security” | The third party that issued the token | Robinhood Stock Tokens, xStocks |
The statement is explicit about the third model: the token “is not an obligation of the issuer of the referenced security and confers no rights or benefits from the issuer of the referenced security.” Third-party tokens “may or may not confer upon the holder of the crypto asset any rights as a holder of the underlying security,” and holders “may be exposed to risks with respect to the third party, such as bankruptcy.”
SEC Commissioner Hester Peirce made the same point in July 2025: “Tokenized securities are still securities.” She warned that buyers of third-party tokens “may face unique risks, such as counterparty risks,” and that such a token could be a security-based swap, which retail investors in the US cannot trade off exchange.
Robinhood Stock Tokens on Robinhood Chain
Robinhood launched the public mainnet of Robinhood Chain on July 1, 2026, alongside a new generation of Stock Tokens. What they are, in Robinhood’s own words:
- “Stock Tokens are tokenised debt securities issued by Robinhood Assets (Jersey) Limited.”
- They “provide economic exposure to underlying securities but do not grant investors any legal or beneficial rights” in, or against, the companies whose shares they track.
- They are “issued as standard ERC-20 tokens” and trade 24/7 on Robinhood Chain.
- They are available “in more than 120 countries” but “not available in the US or to US persons”, and are subject to restrictions in other jurisdictions, including Canada, the UK, Switzerland and the UAE.
The issuer’s own documents add the details that matter:
| Question | Answer from the documents |
|---|---|
| Is the issuer regulated? | “The Issuer is not regulated.” Jersey authorities “do not assume any responsibility for the financial soundness of the Issuer.” |
| Who approved the prospectus? | Liechtenstein’s Financial Market Authority, for completeness, comprehensibility and consistency under the EU Prospectus Regulation. That is not an endorsement of the product. |
| Is it backed? | “Backed 1:1 by the corresponding underlying equity”, “held by a licensed custodian”, Alpaca Securities by default. |
| Dividends? | “Instead of distributing cash dividends, a multiplier mechanism is used.” |
| Can I redeem it? | Redemption is paid “in cash”, and holders who are not authorised participants can redeem only if the “Direct Investor Redemption Conditions” are met. |
| What if something goes wrong? | Limited recourse: “No other assets of the Issuer nor any assets relating to any other Series will be available to meet any shortfall.” |
Only authorised participants can buy new tokens directly from the issuer. Everyone else buys from them, or from other holders, on the market.
Robinhood’s earlier EU product still exists alongside: Classic Stock Tokens, launched June 30, 2025 on Arbitrum. Those are “derivative contracts between you and Robinhood,” you are “not buying the actual stocks,” you cannot send them to other wallets, and Robinhood warns that “investors may lose up to the full amount of their invested capital due to market conditions or the insolvency of Robinhood.”
The OpenAI lesson
At the end of June 2025 Robinhood offered EU users tokens referencing OpenAI and SpaceX, two private companies. OpenAI responded publicly on July 2: “These ‘OpenAI tokens’ are not OpenAI equity. We did not partner with Robinhood, were not involved in this, and do not endorse it.” Robinhood said the exposure came “through Robinhood’s ownership stake in a special purpose vehicle (SPV).”
A token carrying a company’s name tells you what it tracks. It tells you nothing about whether that company has any obligation to you.
xStocks
Backed launched xStocks in mid-2025; by Kraken’s December 2025 announcement there were more than 60 tokenized equities and ETFs. Its legal overview:
- “Each xStock is a bearer debt instrument classified as a tracker certificate,” issued by Backed Assets (JE) Limited, “a Jersey-based special purpose vehicle,” under a base prospectus approved by Liechtenstein’s FMA.
- “Every xStock is fully collateralized by the corresponding underlying asset,” held under an account control agreement with “an independent Security Agent”, who “may take control of the collateral accounts” if the issuer defaults.
- “It does not confer shareholder voting rights.” Dividends are “reinvested into additional shares of the same stock,” net of withholding tax.
- Kraken lets holders withdraw xStocks “to a compatible wallet on Solana, Ethereum, TON, or Ink.”
- Not offered to US persons, and per Kraken not in Canada, the UK or Australia. Issuing and redeeming directly requires KYC with the issuer.
In December 2025 Kraken announced it had agreed to acquire Backed Finance AG, the company behind xStocks.
Tokens that are the share
Galaxy (GLXY) through Superstate. Galaxy’s filing is unambiguous: the tokens “are Galaxy Digital Class A Common Stock, with all the rights that confers,” and “the registered shareholder list of Galaxy updates in real-time.” The catch is access: tokenized shares “can only be held by addresses that have onboarded with Superstate,” Galaxy’s digital transfer agent, and getting them means instructing your broker to move shares by DRS transfer to Galaxy’s transfer agent. This is direct registration with a blockchain as the register.
Exodus, 2021: the counterexample. Exodus sold shares with an onchain token through Securitize. Its offering circular states that the “Common Stock Tokens are not shares of Class A common stock; rather, they are digital representations” of shares held, and that “the Transfer Agent’s records constitute the only official shareholder records.” Same idea, different legal answer. Always read which record is official.
The exchanges are next
US market infrastructure is preparing for tokenized shares that are the same security as the listed stock:
| Step | Status (October 2026) |
|---|---|
| Nasdaq rule to trade tokenized shares | Approved March 18, 2026. A tokenized share “shares the same CUSIP number” and trades “on the same order book” as the traditional share. It takes effect once DTC’s settlement infrastructure is ready. |
| NYSE rule to trade securities in tokenized form | Effective on filing, April 2026. |
| DTC tokenization service | SEC staff no-action relief December 2025 for a three-year pilot. Tokenizing “would not change the legal framework governing the Participant’s holdings.” DTC told the SEC it planned to launch in the second half of 2026. |
When those pieces go live, a tokenized share traded on Nasdaq will be a security entitlement like any other share in your brokerage account, just recorded on a ledger. That is the custodial model, and it is a different product from the third-party tokens sold offshore today.
Synthetic stocks: the history
Before tokens backed by real shares, there were tokens backed by nothing but an oracle. Mirror Protocol’s mAssets tracked stock prices through an oracle, with no shares held behind them. The SEC later described them as “security-based swaps designed to pay returns by mirroring the price of stocks of US companies.” Terraform and its founder agreed to pay more than $4.5 billion in 2024, including a $420 million civil penalty for Terraform. The case is the reason regulators now ask, of every stock token, who stands behind it.

Before you buy a tokenized stock
| Question | Where to find it |
|---|---|
| Who is the issuer, and where is it incorporated and regulated? | The prospectus or final terms, not the app’s marketing page |
| Is it a share, a debt security or a derivative? | The first page of the legal documents |
| Who holds the underlying shares, and what happens if the issuer fails? | Custody and collateral sections; look for a security agent and limited-recourse language |
| Do I get votes and cash dividends? | Usually not; check how dividends are handled (multiplier, reinvestment, cash) |
| Can I redeem, and for what? | Most retail holders sell on the market; direct redemption is often limited to approved participants and paid in cash |
| Can I hold it in my own wallet, and on which chain? | Product FAQ; some tokens cannot leave the platform |
| Am I allowed to hold it? | Country restrictions; US persons are excluded from most third-party tokens |
| What sets the price when the stock market is closed? | If the token trades 24/7, prices outside exchange hours come from token buyers and sellers, not from the stock exchange |
